Non-disclosure agreement, version 2.1. Signing is recorded with date, time and version.
1. Confidential information. The recipient acknowledges that all information disclosed in connection with this opportunity, whether oral or written, is confidential and proprietary to the disclosing party.
2. Use restriction. The recipient shall use the confidential information solely for the purpose of evaluating a possible transaction and for no other purpose whatsoever.
3. Non-disclosure. The recipient shall not disclose any confidential information to any third party without the prior written consent of M&A Firm LLC, save to professional advisers bound by equivalent obligations.
4. No solicitation. For a period of twenty-four months the recipient shall not solicit any employee, customer or supplier identified through the confidential information.
5. Return or destruction. On request the recipient shall promptly return or destroy all confidential information and any copies or derivative analyses.
6. Term. The obligations in this agreement survive for a period of five years from the date of signature.
7. Governing law. This agreement is governed by the laws of the State of New York and subject to the exclusive jurisdiction of the courts of New York.
